Terms of Service
Effective date: October 1, 2026
Theoretical Enterprises, LLC (“we,” “us”) runs theoreticalenterprises.com. These terms cover your use of this site and summarize how we bill, cancel and refund our services. Client work is governed by a signed Client Services Agreement and Statement of Work; if those documents and this page disagree, the signed documents win.
Using this site
- Information only. The site describes our services. It isn’t legal, tax or accounting advice.
- Estimates are estimates. The cost-of-manual-work calculator uses stated assumptions and your inputs. It isn’t a quote or a promise. The systems audit gives you a real number.
- The audit request. Submitting the form asks us to contact you about a free 20-minute systems audit. It doesn’t create a contract or a charge. We reply by email within one business day. How we handle what you submit is in our Privacy Policy.
- Our content. The text, design and code of this site belong to us. You may link to it and quote it for the purpose of evaluating our services.
How we bill
- Projects. A one-time build is quoted as a fixed fee in your Statement of Work. Half is due when you sign, as a deposit; the other half is due when we deliver.
- Monthly services. Ongoing maintenance, monitoring and updates of what we’ve built are billed monthly, in advance, at the rate in your Statement of Work.
- Invoices. Invoices are due within 15 days. Balances more than 15 days late accrue 1.5% per month (or the most the law allows, if lower), and we may pause work after notifying you.
- Ways to pay. Bank transfer, check, or card through our payment processor. We never see or store your full card number.
- Third-party costs. Subscriptions and usage fees for software your automations run on (accounting software, messaging, AI services) are yours. Where we can, we set those accounts up in your name so you pay the vendor directly.
Cancellations and refunds
- Projects. If you cancel before we start work, we refund your deposit in full. Once work has started, the deposit is non-refundable, and you pay for work completed up to the day you cancel.
- Monthly services. Cancel any time by emailing info@theoreticalenterprises.com with 30 days’ notice. The month in which you give notice, and any part of the notice period, is billed in full. We don’t prorate or refund monthly fees.
- Something wrong? If a deliverable doesn’t do what the Statement of Work says, tell us within 30 days of delivery and we’ll fix it at no charge. If we can’t fix it in a reasonable time, we refund what you paid for that deliverable.
- Billing questions. Email us before disputing a charge with your card issuer. We respond within five business days, and any refund we agree to goes back to the original payment method within ten business days.
What we don’t promise
We build real software and stand behind it, but we don’t guarantee business outcomes: a particular position in Google or AI-assistant answers, revenue, or hours saved. Automations that use AI can make mistakes, which is why anything that matters waits for a person’s approval. You and your accountant stay responsible for your books and filings, and you’re responsible for having your customers’ permission for the messages we send on your behalf.
Limits on liability
To the extent the law allows, this site and its content are provided as is, and we aren’t liable for indirect or consequential losses from using them. For paid services, our liability is limited as set out in your Client Services Agreement, which caps it at the fees you paid for the service in question in the prior 12 months.
Governing law
These terms are governed by the laws of Arizona. Any dispute will be heard in the state or federal courts in Maricopa County, Arizona.
Changes to these terms
If we change these terms, we’ll post the updated version on this page and change the effective date above. Signed agreements keep the terms in force when they were signed.
